01 Agreement to Terms

By creating an account, accessing a free trial, or purchasing a subscription, you agree to these Terms. If you do not agree, you must not use our platform.

These Terms apply to all visitors, users, and others who access or use the Harborne.AI platform. Additional terms may apply to specific products or services and will be presented at the relevant point of use.

02 Services Overview

Harborne.AI is a strategic intelligence platform providing AI-powered tools designed for business leaders. Our current product suite includes:

• JT1 — an AI executive team for strategic decision support and analysis.
• Power 5 — a unified AI operating system for strategy, execution, and organisational intelligence.
• AI Yourself — personalised AI assistants trained on your business knowledge, enabling smarter execution across all roles.

We reserve the right to modify, update, or discontinue any feature or product at any time with reasonable notice.

03 Eligibility

To use Harborne.AI, you must:

• Be at least 18 years of age.
• Have the legal capacity to enter into binding contracts.
• Not be prohibited from using our services under applicable laws in your jurisdiction.
• If acting on behalf of a business, have full authority to bind that organisation to these Terms.

04 User Accounts

When creating an account, you agree to:

• Provide accurate, current, and complete information.
• Maintain the security and confidentiality of your login credentials.
• Notify us immediately of any unauthorised use of your account at support@harborne.ai.
• Accept responsibility for all activity that occurs under your account.

05 Acceptable Use

You agree to use Harborne.AI solely for lawful business purposes. You must not:

• Use the platform to engage in any illegal, fraudulent, or harmful activity.
• Attempt to reverse-engineer, copy, or replicate our proprietary AI frameworks or systems.
• Upload or transmit any malware, viruses, or harmful code.
• Use the platform to harass, defame, or harm any third party.
• Resell, sublicense, or redistribute access to the platform without written authorisation.
• Attempt to scrape or extract data from the platform in bulk using automated means.
• Use AI-generated outputs to misrepresent the source or authorship of content.

Violation of these conditions may result in immediate account suspension or termination.

06 Subscriptions & Payment

Free Trial: We offer a 14-day free trial with full platform access. No payment is required during the trial period. After 14 days, continued access requires a paid subscription.

Billing: Subscription fees are billed in advance on a monthly or annual basis as selected at signup. All prices are stated in GBP (£) and are exclusive of VAT unless otherwise stated.

Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No partial refunds are issued for unused time.

Failed Payments: If a payment fails, we will attempt to retry. Persistent failure may result in suspension of your account until the outstanding balance is settled.

07 Intellectual Property

All content, technology, AI frameworks, branding, and materials on the Harborne.AI platform — including but not limited to JT1, Power 5, AI Yourself, and associated methodologies — are the exclusive intellectual property of Harborne.AI Ltd and are protected by applicable copyright, trademark, and other intellectual property laws.

You retain ownership of any proprietary business data and content you upload to the platform. By uploading such data, you grant Harborne.AI a limited, non-exclusive licence to process and use that data solely for the purpose of delivering our services to you.

• You may not use Harborne.AI's branding, logos, or trademarks without prior written consent.
• Outputs generated by the platform are provided for your internal business use only.
• You may not claim exclusive ownership over AI-generated outputs that are produced using shared model infrastructure.

08 Data & Privacy

Your privacy matters to us. Our collection, use, and protection of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

• We do not sell your personal data to third parties.
• All data processed on our platform is handled securely in accordance with UK GDPR and applicable data protection legislation.
• Business data you provide is used only to deliver and improve the services you have subscribed to.
• You may request deletion of your data at any time by contacting support@harborne.ai.

09 Confidentiality

Harborne.AI treats all information you share on the platform as strictly confidential. We implement industry-standard security measures to protect your business intelligence and data.

You agree not to disclose, share, or publish any proprietary information, frameworks, or methodologies of Harborne.AI that you access through the platform, particularly those embedded in our AI products.

10 Disclaimers

Harborne.AI provides strategic intelligence tools designed to support business decision-making. However:

• Our platform is not a substitute for professional legal, financial, or regulatory advice.
• AI-generated outputs are provided "as is" and should be reviewed and validated before implementation.
• We do not guarantee specific business outcomes as a result of using our platform.
• Platform availability is provided on a best-efforts basis; we do not guarantee 100% uptime.

To the fullest extent permitted by applicable law, Harborne.AI disclaims all warranties, express or implied, including but not limited to fitness for a particular purpose and non-infringement.

11 Limitation of Liability

To the maximum extent permitted by law, Harborne.AI Ltd and its directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, goodwill, or business opportunities.
• Decisions made by you based on AI-generated outputs from our platform.
• Interruptions to service due to technical failures, maintenance, or events beyond our reasonable control.

12 Indemnification

You agree to indemnify, defend, and hold harmless Harborne.AI Ltd, its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or in connection with:

• Your use of the platform in breach of these Terms.
• Any content you upload, submit, or transmit through the platform.
• Your violation of any applicable law, regulation, or third-party rights.

13 Termination

Either party may terminate this agreement at any time. Harborne.AI reserves the right to suspend or terminate your account immediately and without notice if:

• You breach any provision of these Terms.
• We are required to do so by law or a regulatory authority.
• Your account has been inactive for an extended period.
• We determine, at our sole discretion, that continued access poses a risk to the platform or other users.

Upon termination, your right to access the platform ceases immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property, confidentiality, and limitation of liability — shall survive.

14 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or relating to these Terms or your use of the Harborne.AI platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

15 Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we do, we will:

• Update the "Effective Date" at the top of this page.
• Notify registered users via email with at least 14 days' notice for material changes.
• Post a notice on the platform dashboard.

Your continued use of the platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use and cancel your subscription.
